TERMS AND CONDITIONS


1. Scope 
These Standard Terms and Conditions of Sale apply to all sales, services, and transactions carried out by Mangal Events (hereafter “the Company”), including but not limited to the sale of event tickets, event management services, and related products. 
By placing an order, purchasing a ticket, or engaging our services, the client (hereafter “the Client”) acknowledges and agrees to these Terms and Conditions.

2. Supremacy of Terms 
The Client explicitly waives its own standard terms and conditions, even if they were established after these Terms. 
Any exception, amendment, or deviation shall be valid only if expressly agreed upon in advance and in writing by the Company.

3. Prices and Payment 
All prices are indicated in Japanese Yen (JPY) and include consumption tax, unless stated otherwise. 
Invoices are payable within 21 working days from the date of issue, unless another payment period is specified on the invoice or order confirmation. 
Payments must be made in full to the Company’s designated account without any deduction or withholding.

In the event of non-payment by the due date: 
- The Company reserves the right to charge interest at a fixed rate of 10% per annum on the outstanding balance. 
- The Company may suspend or cancel any ongoing service or order without prior notice. 

If payment remains outstanding 60 days beyond the due date, the Company may engage a debt recovery agency, and all associated legal and collection costs shall be borne by the Client.

4. Withholding Tax 
If the Client’s local legislation imposes withholding tax or similar deductions, such taxes shall be borne solely by the Client and remitted to the relevant tax authorities. 
Under no circumstances shall Mangal Events be responsible for any local tax obligations or deductions. 
The full invoice amount remains payable to the Company.

5. Delivery of Services 
Mangal Events will make every reasonable effort to deliver services and products in accordance with the agreed timeframes and quality standards. 
However, all obligations are considered best-effort obligations, not guarantees of specific results. 
The Company shall not be held liable for any indirect loss, delay, or consequence beyond its reasonable control (including force majeure, venue restrictions, or supplier delays).

6. Claims and Complaints 
Any complaint or claim relating to the quality, delivery, or content of the service must be submitted in writing by registered letter or verified email within 8 calendar days following the date of service delivery or event completion. 
After this period, the service or product shall be deemed accepted without reservation.

7. Liability 
The Company shall not be held liable for indirect damages, including loss of profit, business interruption, or loss of data. 
Mangal Events cannot be required by the Client to act as a third party or co-defendant in any claim initiated by an end user, attendee, or third party.

8. Force Majeure 
Mangal Events shall not be liable for delays or failures caused by circumstances beyond its control, including but not limited to natural disasters, public health emergencies, transport interruptions, strikes, or governmental restrictions.

9. Governing Law and Jurisdiction 
All contractual relationships and disputes shall be governed exclusively by the laws of Japan. 
In the event of any dispute, the parties agree that the Osaka District Court shall have exclusive jurisdiction.
